BERLIN / RankWire.AI / – Volkswagen AG entered into an agreement to transfer its Osnabrück assembly plant to private equity firm Aurelius Capital and the Lower Saxony state government, marking a strategic shift to repurpose unused automotive capacity for European military production. With passenger car assembly scheduled to conclude by mid-2027, the new ownership intends to transform the 430,000-square-meter site into a center for defense technology innovation. Collaborating with the state-owned defense firm Rafael Advanced Defense Systems, the site will produce air defense systems and specialized vehicle parts, setting an example for European industrial transformation amid rising regional defense expenditure.

Under the shared ownership, Tel Aviv-based investment company Aurelius Capital will hold the majority stake, while the Lower Saxony government, Volkswagen’s second-largest shareholder, will retain a minority share. The first major project at the redeveloped site involves a manufacturing partnership with Rafael Advanced Defense Systems, an Israeli government-owned defense contractor. Plans focus on producing localized systems and mechanical parts for air defense infrastructure, targeting procurement opportunities from Germany and other European allied nations.

The decision to convert the Osnabrück plant follows Volkswagen’s 2024 strategic plan to cease passenger vehicle production there by mid-2027, due to ongoing industrial overcapacity. According to statements from the factory works council, the defense manufacturing partnership aims to safeguard roughly 1,200 specialized technical jobs at the site. This move, involving Aurelius and the German state, reflects a broader trend among European vehicle manufacturers exploring alternative uses for industrial facilities amid surplus capacity and shifting market dynamics.

Volkswagen executives emphasized that this sale aligns with the company’s broader efficiency initiatives aimed at optimizing European operations. Volkswagen AG CEO Oliver Blume explained that the deal offers a sustainable industrial outlook for Osnabrück, while fulfilling corporate commitments to regional employment. Representatives from Aurelius Capital, led by Managing Director Tomer Jacob, highlighted that the facility’s precision manufacturing capabilities and skilled workforce make it suitable for advanced defense production.

This restructuring coincides with economic pressures impacting European automakers, including declining demand for battery-electric vehicles, high domestic energy prices, and increased competition from international manufacturers. Labour union representatives from IG Metall acknowledged that shifting civil automotive lines toward defense production offers essential job security for regional workers amidst months of employment instability.

European Vehicle Plant Overcapacity Drives Defense Sector Reorganization

Finalization of the transaction depends on the completion of contractual arrangements, approval from the relevant supervisory boards, and regulatory clearance from German antitrust authorities. Details regarding the purchase valuation, financial terms, and the specific distribution of ownership between Aurelius Capital and Lower Saxony have not been publicly disclosed.

Industry analysts note that redirecting automotive infrastructure toward military hardware reflects increasing defense budgets across European NATO countries. Monitoring committees will oversee regulatory filings and the transition milestones as Volkswagen phases out vehicle production at the plant ahead of full operational transfer. Official updates on approvals and facility conversions will be shared through official disclosures.
